DentalGoodNews|Q & M Dental Group (Singapore) Limited (Q&M Dental Group), a Singapore-listed dental healthcare group, announced on August 14, 2026 that it has signed a non-binding Memorandum of Understanding (MOU) to divest 60% of the equity interest in its wholly-owned subsidiary EM2AI Pte. Ltd. (a dental AI diagnostic platform, hereinafter "EM2AI") to listed company Medi Lifestyle Limited. The transaction consideration comprises 138 million new ordinary shares to be issued by the buyer (at S$0.049 per share, approximately RMB 0.26), corresponding to a value of approximately S$6.76 million (approximately RMB 35.76 million).
Upon completion of the transaction, Q&M Dental Group will retain a 40% equity interest in EM2AI and continue to participate in the target company's future growth and performance. In addition, the buyer has committed to raising no less than S$30 million (approximately RMB 159 million) within two years after the transaction completion to support the target company's business expansion in Singapore and Southeast Asia. Notably, EM2AI's core clinic management system business (EM2Clinic) will be divested prior to the transaction and is not included in the scope of this disposal.
According to the terms of the MOU, the transaction remains subject to customary preconditions including due diligence, absence of material adverse changes, and execution of advisory agreements. The parties intend to set net profit targets for EM2AI for fiscal years 2027 to 2029 at no less than S$1 million, S$1.5 million, and S$2.5 million (approximately RMB 5.29 million, RMB 7.94 million, and RMB 13.23 million), respectively, with the specific implementation mechanism to be further defined in the subsequent definitive agreement. The MOU includes a three-month exclusivity period, which will automatically lapse upon execution of the definitive agreement by both parties or written termination by Q&M Dental Group.
According to previous reports by DGN (DENTALGOODNEWS, Leading Dental Industry Media), Q&M Dental Group recorded revenue of approximately RMB 524 million in the first half of 2026, with its core dental business growing 13.01% year-on-year. Previously, the Group had announced plans to invest over RMB 700 million in the acquisitions of Experteeth in Australia and Deezy in Thailand, two dental chains.
