Century-old dental brand HuFriedyGroup plans to acquire Italian dental equipment manufacturer Mectron.

Co., LLC has signed a framework agreement with Italian dental equipment manufacturer Mectron S.p.A. to acquire its dental business. Mectron's technologies in piezoelectric surgery, ultrasonic scaling, and air polishing are intended to be integrated into HuFriedyGroup's Dental Solutions portfolio, covering prevention, implant, and Oral Surgery fields.

The acquisition scope includes Mectron's Italian dental business, its German subsidiary Mectron Deutschland Vertriebs GmbH (excluding its medical activities), and the dental business of Piezosurgery Inc. in Columbus, Ohio, USA; Mectron will retain its medical business.

After the transaction closes, Mectron's facility in Carasco, Italy, will continue to manufacture dental product lines for HuFriedyGroup through a multi-year supply agreement; the two parties also plan to sign a transition services agreement to support continuity for customers, distributors, and suppliers. Mectron's dental-focused commercial and R&D teams will also join HuFriedyGroup.

Robert Woolley, chief executive officer of HuFriedyGroup, stated that the agreement is highly consistent with the company's direction of integrating the instruments, technologies, education, and clinical expertise that dental professionals need. If the transaction closes, Mectron's technologies will reach more clinicians through HuFriedyGroup's global network covering approximately 100 countries.

The transaction is expected to be completed by the end of 2026, subject to completion of legally required procedures and satisfaction of customary closing conditions. Prior to closing, the two companies will continue to operate independently, and there will be no immediate changes for customers, distributors, and suppliers.

HuFriedyGroup, formerly Hu-Friedy, was founded in 1908 and focuses on the design and manufacturing of dental instruments. In 2021, it was acquired by Private Equity (PE) firm Peak Rock Capital, gaining greater support in resources and expansion. Currently, in addition to producing traditional dental instruments, it also produces medical and sterilization products. The company has approximately 1,600 employees across more than 20 manufacturing sites worldwide, with products sold in over 100 countries.

Mectron was founded in 1979 and is headquartered in Carasco, Italy, primarily designing and manufacturing piezoelectric and ultrasonic medical devices for dental and surgical fields. Since 2023, HuFriedyGroup has begun distributing piezoelectric scaling and air polishing devices manufactured by Mectron in the United States and Canada.
