Singapore-listed dental services group Q & M Dental Group (Singapore) Limited (hereinafter referred to as "Q&M Dental Group") announced that it has formally signed several Sale and Purchase Agreements (SPA) to acquire the Australian Experteeth Group and obtain controlling stakes in Thailand's Deezy Q&M Dental for a total consideration exceeding S$140 million (approximately RMB 733 million). Concurrently, the company announced a suspension of steps related to its secondary listing plans on the Malaysia Stock Exchange.
In the Australian market, Q&M Dental Group will acquire 100% equity of the Experteeth Group for A$119.64 million (approximately RMB 560 million). The Experteeth Group operates 40 clinics across New South Wales, Victoria, Queensland, Tasmania, and the Australian Capital Territory, with approximately 120 dentists. The consideration includes A$64.64 million (approximately RMB 302 million) in cash and A$55 million (approximately RMB 258 million) paid via the issuance of new shares. As previously reported by DENTALGOODNEWS (Leading Dental Industry Media, DGN), Q&M Dental Group had announced the transaction arrangements related to Experteeth in March 2026.
This Australian acquisition is accompanied by an 8-year profit guarantee totaling approximately A$112.6 million (approximately RMB 529 million). To cover potential shortfalls in meeting the profit guarantee targets, the seller has agreed to deposit A$8 million (approximately RMB 38 million) into an escrow account, which will be adjusted to A$5.5 million (approximately RMB 26 million) upon achieving or exceeding the first-year profit guarantee target. Additionally, core dentists and founding shareholders of the Experteeth Group will sign 15-year service agreements. The newly issued shares have an issue price of S$0.70 per share (approximately RMB 3.67 per share) and are subject to a 15-year Lock-up Period. Dr Ng Chin Siau, CEO of Q&M Dental Group, stated that Australia's mature regulatory environment, the network's scale, and clinical resources will provide a foundation for the group's development.
In the Thai market, Q&M Dental Group plans to acquire a 51% stake in Deezy Q&M Dental for THB 994.5 million (approximately RMB 202 million). Deezy Q&M Dental operates 33 dental clinics in Thailand. The payment method is also a combination of cash (THB 700 million, approximately RMB 142 million) and newly issued shares, with the remaining consideration paid through the issuance of new Q&M Dental Group shares. As previously reported by DGN, Q&M Dental Group had been planning its entry into the Thai market since October 2025. This transaction includes a 6-year profit guarantee totaling approximately THB 1.25 billion (approximately RMB 254 million). Furthermore, Q&M Dental Group will sign service agreements with core dentist Dr. Thunyaporn Pongkajornkitjakarn and management personnel Dr. Nanthisak Piyanantisak of Deezy Q&M Dental.
Additionally, Q&M Dental Group announced it would suspend steps related to its secondary listing on the Malaysia Stock Exchange, stating it will continue to consider the suitability of this capital market arrangement and will provide further updates upon significant progress. The company's shares have been suspended from trading since July 9, with the last traded price before suspension being S$0.555 (approximately RMB 2.91).
